These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Buyer," "Seller," or "Vendor") and The Swap Yard ("Company," "Platform," "we," "us," or "our"), governing your access to and use of theswapyard.us.com and all associated services.

By creating an account, listing an item, completing a transaction, or otherwise accessing The Swap Yard, you agree to be bound by these Terms in their entirety. If you do not agree, do not use this platform.

1.1 Eligibility

You must be at least 18 years of age to use The Swap Yard. By using the platform, you represent and warrant that you are 18 or older and have the legal capacity to enter into binding contracts. The Swap Yard reserves the right to terminate accounts of users found to be under 18.

1.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. You agree to maintain the confidentiality of your login credentials and to notify The Swap Yard immediately of any unauthorized use. The Swap Yard is not liable for losses resulting from unauthorized account access.

1.3 Platform Role

The Swap Yard is an Internet Publishing and Web Portal platform (NAICS 519130). We provide the technology infrastructure that connects buyers, sellers, and traders. We are not a party to any transaction, trade, or barter between users. We do not own, store, inspect, or guarantee any item or service listed on the platform.

1.4 Fees and Payments

  • The Swap Yard charges a 5% transaction fee on all completed sales processed through the platform
  • Subscription fees are billed monthly or annually and are non-refundable except at The Swap Yard's sole discretion
  • Listing fees, if applicable, are charged at the time of listing publication
  • The Swap Yard reserves the right to modify fees with 30 days written notice to users

1.5 Intellectual Property

All content you post on The Swap Yard — including photos, descriptions, and profile information — remains your property. By posting, you grant The Swap Yard a non-exclusive, royalty-free, worldwide license to display, distribute, and promote your content for the purpose of operating the platform.

1.6 Modifications to Terms

The Swap Yard may update these Terms at any time. Continued use of the platform after notification of changes constitutes acceptance. We will provide at least 14 days notice of material changes via email or platform notification.

Prohibited Conduct

  • Harassment, threats, or hate speech toward any user
  • Creating fake listings to deceive buyers
  • Price gouging during declared emergencies
  • Circumventing platform fees by conducting off-platform transactions for listings found on The Swap Yard
  • Operating multiple accounts to manipulate ratings or reviews
  • Spamming users with unsolicited messages
  • Impersonating another person or entity

Payment Policy & Disclaimers

Important: Digital Currency Transactions Are Peer-to-Peer The Swap Yard does not operate as a digital currency exchange, broker, wallet provider, or financial institution. All cash or card transactions occur directly between users outside The Swap Yard payment system.

3.1 No Digital Currency Liability

The Swap Yard expressly disclaims all liability for cash or card transactions, including but not limited to:

  • Loss of funds due to incorrect wallet addresses
  • cash or card de-pegging events or price volatility between listing and payment
  • Failed, delayed, or reversed blockchain transactions
  • Tax obligations arising from cash transactions (consult a tax professional)
  • Regulatory actions against or digital currencies in your jurisdiction
  • Loss due to wallet hacks, phishing, or private key compromise
  • Smart contract failures or blockchain network issues

3.2 User Responsibility for Digital Currency

Users who elect to transact in do so entirely at their own risk. The Swap Yard's buyer protection program does not apply to cash transactions. cash or card payments are final and irreversible. The Swap Yard strongly recommends using the platform's integrated card payment system (powered by Stripe) for buyer protection.

3.3 Regulatory Compliance

Users are solely responsible for complying with all applicable laws regarding cash or card and digital in their jurisdiction. In the United States, the IRS treats digital currencies as property — gains from such transactions may be taxable. The Swap Yard may be required to report certain transaction information to tax authorities.

3.4 Permitted Digital Currencies

The Swap Yard permits users to indicate willingness to accept cash or card as stated payment preferences on listings. No specific coin or is endorsed or promoted by The Swap Yard. All cash transactions are handled entirely outside the The Swap Yard platform and are not subject to The Swap Yard's dispute resolution.

Safe Transaction Zones

Many police departments across the US offer designated "Safe Transaction Zones" — marked parking spots with surveillance cameras specifically for meetups from online marketplaces. Search "safe transaction zone [your city]" to find one near you.

Report Suspicious Activity

If you encounter a listing that appears fraudulent, illegal, or suspicious, use the Report button on any listing immediately. The Swap Yard reviews all reports within 24 hours. For immediate safety concerns, contact local law enforcement first.

In-Person Meeting Best Practices

Before the Meeting

  1. Communicate only through The Swap Yard's messaging system until you're comfortable
  2. Agree on a specific time, date, and public location in advance
  3. Verify the item photos match what you expect — request additional photos if needed
  4. Research the fair market value of the item independently
  5. Check the seller's reviews, rating, and account age
  6. Share your meeting details with a trusted friend or family member
  7. Charge your phone fully before leaving

At the Meeting

  1. Meet in a public place with other people present — never at a private residence for first meetings
  2. Arrive in your own vehicle and park in a visible, well-lit area
  3. Thoroughly inspect the item before agreeing to complete the transaction
  4. Test electronics, run vehicles, verify functionality before paying
  5. Count cash carefully or confirm payment processing before handing over the item
  6. If anything feels wrong, you are entitled to leave without completing the transaction

High-Value Transactions ($500+)

For transactions over $500 we strongly recommend:

  • Meeting at a police station lobby or other official Safe Transaction Zone
  • Using The Swap Yard's Stripe payment system rather than cash for a paper trail
  • Bringing a witness
  • Requesting proof of ownership (original receipts, serial number verification)

The Swap Yard Assumes No Liability for In-Person Meetings By using The Swap Yard to arrange in-person exchanges, you explicitly acknowledge that The Swap Yard is not present at, responsible for, or liable for any events that occur during in-person meetings arranged through the platform. You meet at your own risk.

Barter & Trade Policy

6.1 Barter at Your Own Risk

The Swap Yard facilitates barter and trade exchanges as a core platform feature. However, all barter transactions are conducted entirely between users at their sole risk. The Swap Yard is not a party to any barter agreement and assumes no responsibility for the outcome of trades.

Barter Is Not Covered by Buyer Protection The Swap Yard's buyer protection and dispute resolution services apply only to cash and card transactions processed through the platform. Pure barter/trade exchanges are not eligible for dispute resolution or refunds.

6.2 Tax Obligations for Barter

Under IRS regulations, the fair market value of goods or services received in a barter exchange is taxable income. If The Swap Yard facilitates sufficient barter volume for a user, we may be required to issue a 1099-B form. Users are solely responsible for reporting barter income on their tax returns. Consult a qualified tax professional.

6.3 Barter Best Practices

  • Agree on the fair market value of both items in writing before the trade
  • Document the condition of both items with photos before the exchange
  • Use The Swap Yard's messaging system to create a written record of the agreement
  • Consider using The Swap Yard's Trade Confirmation feature to acknowledge mutual agreement
  • For high-value trades, consider having items professionally appraised in advance

6.4 Service Barter

When bartering services (e.g., web design in exchange for photography), both parties should agree on the scope of work, timeline, and deliverables in writing before beginning. The Swap Yard recommends using the platform's messaging system to document all agreements.

Vendor Agreement

This Vendor Agreement applies to all users who register as a Vendor on The Swap Yard, including those on the Trader Pro, Verified Vendor, or Business subscription plans.

7.1 Vendor Responsibilities

  • Accurately represent all items and services listed on the platform
  • Ship items within the stated processing time (default: 3 business days)
  • Maintain accurate inventory counts and remove sold items promptly
  • Respond to buyer messages within 48 hours
  • Honor all prices listed at the time of purchase
  • Comply with all applicable federal, state, and local laws regarding the sale of your items
  • Collect and remit applicable sales tax

7.2 Shipping Requirements

  • All shipped items must be adequately packaged to prevent damage in transit
  • Vendors must provide valid tracking numbers for all shipped orders within 24 hours of shipment
  • Vendors are responsible for items until confirmed delivery by the carrier
  • The Swap Yard recommends purchasing shipping insurance for items valued over $100

7.3 Vendor Fees

  • Free Tier: 5% transaction fee, up to 5 active listings
  • Trader Pro ($9.99/yr): 4% transaction fee, unlimited listings
  • Verified Vendor ($29.99/yr): 3% transaction fee, priority placement, certification eligible
  • Business ($79.00/yr): 2% transaction fee, API access, bulk tools

7.4 Vendor Suspension and Termination

The Swap Yard reserves the right to suspend or terminate any vendor account for violation of these terms, receipt of excessive negative reviews, non-fulfillment of orders, fraudulent activity, or any other conduct deemed harmful to the The Swap Yard community.

Specialist Certification Program

What Is a The Swap Yard Certification? A The Swap Yard Specialist Certification is a platform-level verification that a service provider has submitted proof of relevant qualifications, licenses, or demonstrated expertise in their field. It is NOT a guarantee of quality or a professional license.

Certification Requirements

  1. Active Trader Pro, Verified Vendor, or Business subscription
  2. Submission of relevant credential documentation (license, degree, certificate, portfolio)
  3. Verification review by The Swap Yard team (3–5 business days)
  4. Annual renewal fee of $49–$149 depending on category
  5. Maintenance of minimum 4.0 star rating

Certification Disclaimer

The Swap Yard's certification program verifies that users have submitted claimed credentials. The Swap Yard does not independently verify the authenticity of all submitted documents beyond reasonable review. The Swap Yard's certification is a platform designation only and does not constitute professional licensing, endorsement, or a guarantee of service quality. Users engaging certified specialists do so at their own discretion.

Privacy Policy

9.1 Information We Collect

  • Account information: name, email address, password (hashed)
  • Profile information: display name, contact details you choose to share
  • Transaction data: listings, purchases, trades, messages
  • Usage data: pages visited, search queries, device information
  • Payment data: processed by Stripe — The Swap Yard does not store card numbers

9.2 How We Use Your Information

  • To operate and improve the The Swap Yard platform
  • To process transactions and send related communications
  • To detect fraud and enforce our terms
  • To comply with legal obligations including tax reporting
  • To send platform updates and marketing (you may opt out at any time)

9.3 Information Sharing

The Swap Yard does not sell your personal information to third parties. We share data with: service providers (Supabase for database, Stripe for payments, Shippo/EasyPost for shipping); law enforcement when required by law; and buyers/sellers to the extent necessary to complete transactions.

9.4 Your Rights

You have the right to access, correct, or delete your personal data. Contact privacy@theswapyard.us.com for data requests. EU and California residents have additional rights under GDPR and CCPA respectively.

Dispute Resolution

10.1 Buyer Protection

The Swap Yard's Buyer Protection applies to all card transactions processed through the platform (via Stripe). Coverage includes: item not received, item significantly not as described, and unauthorized transactions. Cash and digital currency (cash or card/) transactions are not covered.

10.2 Dispute Process

  1. Contact the seller directly through The Swap Yard messaging first
  2. If unresolved within 48 hours, open a formal dispute through your account dashboard
  3. The Swap Yard reviews the dispute and all related communications within 5 business days
  4. Both parties may submit evidence (photos, messages, tracking information)
  5. The Swap Yard's decision is final and binding for platform-level disputes

10.3 Arbitration

Any dispute arising from these Terms that cannot be resolved through The Swap Yard's internal process shall be submitted to binding arbitration under the American Arbitration Association rules. You waive your right to a jury trial and to participate in a class action lawsuit against The Swap Yard.

Limitation of Liability

IMPORTANT — PLEASE READ CAREFULLY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SWAP YARD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

THE SWAP YARD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE SWAP YARD IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE SWAP YARD IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE. ALL IN-PERSON MEETINGS, BARTER EXCHANGES, AND CRYPTOCURRENCY TRANSACTIONS OCCUR ENTIRELY AT USERS' OWN RISK.

This limitation of liability applies regardless of the theory of liability, including contract, tort, negligence, strict liability, or otherwise, even if The Swap Yard has been advised of the possibility of such damages.

Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The Swap Yard operates as a nationwide platform serving users across all 50 US states. For users located in the European Union, applicable EU consumer protection laws may provide additional rights that cannot be waived by contract.

Sustainability & Environmental Commitment

The Swap Yard is built on the premise that the most sustainable product is one that already exists. By facilitating the resale, barter, and trade of goods between individuals and businesses, The Swap Yard actively promotes circular economy principles and helps divert usable items from landfills.

12.1 Our Platform's Environmental Position

The Swap Yard explicitly positions itself as an eco-conscious alternative to buying new. Every transaction on our platform — whether a sale, trade, or barter — represents a good that found a second life rather than entering the waste stream. We believe that marketplace platforms have a responsibility to support sustainable consumption, and we have built that belief into our platform's design, messaging, and community guidelines.

12.2 What We Encourage

  • Listing items you no longer need rather than discarding them
  • Buying secondhand before buying new
  • Repairing and reselling items rather than replacing them
  • Trading services to reduce cash consumption and build community
  • Estate sale and yard sale listings to rehome household goods
  • Posting items with honest condition descriptions to maximize reuse potential

12.3 Platform Operations

The Swap Yard is a software platform hosted on Netlify's global edge network with green energy commitments. Our backend database is hosted on Supabase, which operates on energy-efficient cloud infrastructure. We do not operate physical locations, warehouses, or delivery fleets, which significantly reduces our direct carbon footprint relative to traditional retail or logistics companies.

12.4 Community Standards

We ask all Swap Yard community members to uphold the spirit of sustainable commerce. This includes accurately representing item conditions, packaging shipments responsibly using recycled materials where possible, and prioritizing local pickup to eliminate shipping emissions when practical.
